NOTICE OF THE RESULTS OF A MEETING OF THE HOLDERS OF ALL OF THE
NOTES ISSUED UNDER THE ISSUER'S ZAR4,000,000,000 ASSET BACKED
NOTE PROGRAMME DATED 27 SEPTEMBER 2019 ("PROGRAMME MEMORANDUM")



Noteholders are referred to the notice of the meeting of the
holders of all the Notes, issued under the Issuer's Programme
Memorandum, dated 12 July 2023 ("Notice of Meeting").

Capitalised terms used in this notice and not otherwise defined
herein, shall have the meaning ascribed to such terms in the
Programme Memorandum and the Notice of Meeting.

Pursuant to the Notice of Meeting, a meeting of Noteholders was
held on 3 August 2023, at the offices of Quadridge Intembeko
Proprietary Limited, 1st Floor, 32 Fricker Road, Illovo,
pursuant to which the Noteholders approved the amendment of
items 13 (Coupon Step-Up Date) and 15 (Scheduled Maturity Date)
of each of the Class A2, Class A3, Class B1, Class C1 and Class
D1 Applicable Pricing Supplements currently in issue from 21
August 2024 to 21 August 2023 respectively.

The above amendments were effected following the adoption of the
Special Resolutions by Noteholders at the Meeting holding 92%
of the Principal Amount Outstanding of the Notes represented by
proxy.
