REPAYMENT OF LOAN BY ATTERBURY PROPERTY HOLDINGS
RMH shareholders ("Shareholders") are referred to the announcement released on SENS
dated 21 August 2023 wherein Shareholders were advised that RMH, RMH Asset Holding
Company Proprietary Limited ("RMHAH") and Atterbury Property Holdings Proprietary
Limited ("APH") had entered into an agreement ("the Agreement") regarding the terms of the
R487 million loan facility between RMHAH as lender and APH as borrower ("the Loan").
Shareholders are hereby advised that in accordance with the terms of the Agreement, APH
has today repaid the base loan, being R162 million, to RMHAH in cash together with interest
at JIBAR plus 2.75% calculated from the date of the Agreement. Furthermore, in settlement
of the balance of the Loan, being R325 million, APH will issue shares ("Conversion
Shares") to RMHAH (or its nominee) on or about 1 November 2023, calculated as at the
June 2023 IFRS NAV of APH which NAV is in the process of being finalised.
RMH will release a further announcement on SENS once the Conversion Shares have been
issued by APH to RMHAH.
