Subject: Appointment of a Supervisory Board member

The Management Board of Globe Trade Centre SA ("Company") announces that on 25 September 2024
it received a written statement of Powszechne Towarzystwo Emerytalne PZU SA representing Otwarty
Fundusz Emerytalny PZU "Zlota Jesien" with its registered office in Warsaw, Poland ("Entitled
Shareholder"), stipulating that the Entitled Shareholder appoints Mrs. Magdalena Frackowiak as
member of the Supervisory Board of the Company, for a 3-year term starting on 25 September 2024.
Appointment was made pursuant to article 9 point 1 of the Articles of Association of the Company.

Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds
54 808 287 shares in the Company, which constitute 9.54 % of the Company's share capital.

Magdalena Frackowiak is an attorney-at-law with over 15 years of professional experience in legal
advice in commercial, corporate, mergers and acquisitions (M&A) and financing matters. She is
authorized to practice as a lawyer in Poland and Great Britain. Mrs. Frackowiak specializes in
transaction advisory, in particular M&A transactions, Venture Capital, financing and cross-border
transactions. Mrs. Frackowiak started her career at KPG Spólka Partnerska Attorneys Keller, Ksiazek,
Grodzinska (currently Keller&Wspólnicy sp.k.) and later worked for Credit Suisse Poland Sp. z o. o.,
Global Trading Group (Cash Equities Trading Support). Currently, Mrs. Frackowiak is an attorney at LSW
Bienkowski, Laskowski, Lesnodorski, Melzacki i Wspólnicy sp.k.

Magdalena Frackowiak graduated in law, Faculty of Law, Administration and Economics of the
University of Wroclaw, and then completed legal training. Additionally, graduated from English-
language LL.M postgraduate studies with specialization in International Commercial Law at Kozminski
University, Warsaw.

According to the statement, Magdalena Frackowiak is not entered in the register of insolvent debtors
maintained in compliance with the National Court Register Act dated 20 August 1997, does not
perform any activities outside of the Company's business which could be considered competitive with
respect thereto, does not participate in any competitive business either as a partner in a civil
partnership or any other type of partnership, and is not a member of the authorities of any competing
company or any other competing entity. Moreover, Mrs. Frackowiak fulfils the independence criteria
as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the
role of non-executive or supervisory directors of listed companies and on the committees of the
(supervisory) board.

Legal basis: Art. 5 point 5 of the Regulation of the Council of Ministers of 29 March 2018 concerning
the submission of current periodical information by the securities' issuers and the conditions of
recognizing as equal the information demanded by the national lawful regulation of a country which
does not hold the membership in European Union.
